TERMS AND CONDITIONS

The Parties have indicated their acceptance to be bound by the terms of these Terms and Conditions (“Terms and Conditions” or “Agreement”) by clicking on the Accept button when submitting the application form to participate in the MySTI Program or by submitting the duly completed application form (in any method, manner or form) to participate in the MySTI Program to the Program Owner. This is an electronic agreement that does not require physical sign-off or signature. By clicking on the Accept button, you expressly agree that you have executed these Terms and Conditions as an agreement pursuant to, and in accordance with, the Malaysian Contracts Act 1950, Digital Signature Act 1997, the Electronic Commerce Act 2006 and Section 90A of the Evidence Act 1950.

PART A

GENERAL TERMS AND CONDITIONS

  1. Term
  1. This Agreement shall come into effect on the Commencement Date and shall continue for a period of twelve (12) months (“Term”), unless earlier terminated in accordance with the provisions herein.
  2. The Term of this Agreement shall automatically renew for subsequent twelve (12) month periods, unless otherwise terminated in accordance with the provisions of this Agreement, or upon the completion or termination of the MySTI Program, whichever is earlier.

  1. Obligations of the Parties
  1. The requirements and obligations to be fulfilled by the applicants of the MySTI Program are as set out in Part B of this Agreement.
  2. In addition to the specific terms and conditions set out in Clauses 2.1, you agree, warrant, represent and undertake to perform the following obligations:
  1. At the request of the Program Owner, you shall provide to the Program Owner without undue delay any and all information or documentation in relation to your participation in the MySTI Program as may be requested by the Program Owner from time to time.
  2. At the request of the Program Owner, you shall complete surveys, reports, or other information about the interim, the final results, or the impact of the MySTI Program for the duration of the Term and for a period of two (2) years thereafter. You hereby agree and consent to the use of such information provided by you to          the Program Owner, inter alia, as marketing collaterals, for the performance of impact analyses, for the development of metrics and other tools within the contemplation of the form and intent of the MySTI Program, or for any other reason not specified herein.
  3. At the request of the Program Owner, you shall participate in publicity related activities (including, without limitation, giving interviews, attending events, and any other activities as may be notified by the Program Owner from time to time) and you agree that the Program Owner shall own all Intellectual Property Rights in, and may use at its sole and absolute discretion, such publicity materials. You hereby consent to, and where required, grant license to, the Program Owner to use your name, logo and any other type of information or Intellectual Property Rights in the Program Owner’s marketing and publicity materials, and in any other materials or for any other purpose as the Program Owner sees fit.
  4. Where any of your obligations under this Agreement is to be carried out at the premises of the Program Owner, you shall ensure complete adherence to the Program Owner’s prevailing and current workplace policies as may be amended from time to time.

  1. Representations and Warranties
  1. You agree, warrant, represent and undertake that:
  1. you shall perform your obligations under this Agreement in an efficient and professional manner and you will observe standards generally observed in the industry;
  2. the performance of your obligations under this Agreement and in relation to the MySTI Program will not conflict with any prior commitments or obligations which may adversely affect, impede or prejudice your performance of your obligations;
  3. you have the power to enter into, execute, deliver and perform your obligations under this Agreement and you have taken all necessary actions to authorise your entry into and performance of your obligations under this Agreement and to carry out the transactions contemplated by this Agreement;
  4. this Agreement constitutes a legal, valid and binding obligation on you enforceable in accordance with its terms by appropriate legal remedy;
  5. you are not aware of anything within your reasonable control which might or will adversely affect your ability to fulfil your obligations under this Agreement;
  6. you have not entered into and shall not enter into any arrangement with any party which may conflict with the terms and conditions of this Agreement;
  7. any and all information you provide to the Program Owner are true, accurate, current and complete. You agree and acknowledge that the Program Owner reserves the right to request for supporting documents or evidence in relation to any and all information you provide to the Program Owner, and you shall provide the same to the Program Owner upon request immediately and without undue delay;
  8. the provision of funds, grant, sponsorship, or other forms of benefits is not guaranteed and will only be provided upon recommendation by the Program Owner, MySTI taskforce or any other appropriate body involved in the MySTI Program. You further agree that the Program Owner reserves the right to withhold the provisions of such funds, grant, sponsorship, or other forms of benefits at any time with no obligation to provide you with any notice or reason for such withholding;
  9. the provision of any funds, grant, sponsorship or other forms of benefits to you shall only be used for the purpose of the MySTI Program;
  10. you shall provide periodical reports to the Program Owner in relation to your participation, and where applicable, in relation to your progress, in the MySTI Program. The information required to be provided in and as part of such reports shall be notified to you by the Program Owner from time to time;  
  11. you have not and will not infringe any third party Intellectual Property Rights (as hereinafter defined) in relation to the subject matter of this Agreement;
  12. you shall comply with all health and safety laws and regulations of Malaysia (including the Occupational Safety And Health Act 1994 and its regulations) as may be enacted or amended from time to time. You agree that by participating in the MySTI Program, you are doing so at your own risk and save as may be required by law, the Program Owner shall not be liable for any injury or harm caused or incurred by your participation in the MySTI Program, including as a result of the use of any of the Program Owners’;
  13. you shall at all times abide by all applicable laws and regulations of Malaysia; and
  14. the terms of this Agreement shall be incorporated by reference and shall be read together with any agreement(s) entered into by you and the Program Owner, any form(s) or other documents submitted by you to the Program Owner, or any documents issued to you by the Program Owner, for the purpose of the MySTI Program, whether in physical or electronic form.

  1. Decision of the Program Owner
  1. The Program Owner reserves the right, at its sole and absolute discretion, to make changes to the scope and content of, to cancel, delay and/or recommence the MySTI Program with immediate effect and without the need to provide you with any prior notice.
  2. Without prejudice to any of the Program Owner’s rights under this Agreement, the Program Owner, at its sole and absolute discretion, reserves the right to disqualify you from the MySTI Program with immediate effect and without having to provide you with any prior notice:
  1. if you are in breach of any of the terms of this Agreement;
  2. if your conduct is inappropriate or contrary to the spirit or intention of the MySTI Program;
  3. if you have committed or undertaken any fraud, dishonesty, deceit, misconduct, or similar actions including providing any false or incorrect information;
  4. your act(s) or omission(s) may have an adverse effect on the MySTI Program;
  5. if you are or are potentially insolvent or are subject to any bankruptcy proceedings; or
  6. for any other reason not specified herein, and there shall be no obligation on the part of the Program Owner to provide or justify such reasons to you.
  1. Notwithstanding Clause 4.2, the Program Owner reserves the right at its sole and absolute discretion to disqualify you from the MySTI Program for convenience with immediate effect, without having to provide you with any prior notice, and without any prejudice to its rights in law and under this Agreement.
  2. Pursuant to Clauses 4.2 and 4.3 above, in the event of disqualification from the MySTI Program, you shall immediately return all Confidential Information to the Program Owner (and where applicable, irretrievable delete or destroy such Confidential Information), return in full any grant, funding, sponsorship or any benefits in any form received from the Program Owner or any other benefits received from other sources for the purpose of your participation in the MySTI Program, and immediately cease any and all representation of your participation in the MySTI Program.
  3. Any decision of the Program Owner in relation to the MySTI Program and the terms of this Agreement shall be final and conclusive.

  1. Indemnity
  1. You agree to indemnify, defend and hold harmless the Program Owner and the Program Owner’s Affiliates from and against any and all proceedings, costs, claims, damages, liabilities, penalties, losses and expenses (including, without limitation, legal fees and disbursement on a full indemnity basis) of whatsoever nature howsoever suffered, incurred or sustained by the Program Owner or the Program Owner’s Affiliates, arising out of or by reason of any breach of or non-compliance with any of the terms of this Agreement by, the breach of any applicable law by, or any act or omission by you or your Affiliates, any injury to, or death of, a natural person, and any loss of, or damage to, real or personal property of any person caused or contributed to by you or your Affiliates, the breach of any confidential obligation stipulated under the terms of this Agreement by you or your Affiliates, any infringement or alleged infringement of any Intellectual Property Rights or moral rights of a third party by you or your Affiliates, any act or omission by you or your Affiliates which is fraudulent, dishonest, reckless, unlawful, grossly negligent or any wilful misconduct, reckless indifference, wilful disobedience or misrepresentation by you or your Affiliates, any claim by or against a third party that is caused or contributed to by any breach of the terms of this Agreement by any negligent act or omission of, or any wrongful or unlawful act of omission of, or any gross negligence, wilful misconduct, reckless indifference, wilful disobedience or misrepresentation by you or your Affiliates, any dispute arising over the planning and execution of the MySTI Program (where applicable), or any other third party claims.

  1. Liability
  1. The Program Owner shall not be liable to you for any indirect, consequential, incidental, special, and/or exemplary damages; and loss of profits, loss of business, and/or loss of opportunity, direct or otherwise. The Parties agree that the Program Owner shall not be liable for any loss or damage caused by you, your Affiliates or other parties. In no case shall the Program Owner be liable to you under any expressed or implied warranty, negligence, or any other tort; for loss or damage to property or loss of use thereof; for loss or corruption of data; increased or additional costs or expenses incurred by you; and claims of any kind by you, your Affiliates, the other applicants of the Program whether as a applicant. The explicit rights and remedies under the terms of this Agreement constitute your sole remedies and the Program Owner’s sole and exclusive liability towards you.
  2. The Program Owner may recover directly from you any damages suffered by the Program Owner as a result of any failure by you to comply with the terms of this Agreement.

  1.  Audit and Reporting Obligations
  1. During the Term of this Agreement and up to one (1) year after the end of the Term (or any extensions thereof) or the termination of this Agreement (as the case may be), at the request of the Program Owner, you shall provide to the officers of the Program Owner (or its nominees), external auditing bodies (or their nominees) (each an “Auditor”), unhindered full access to the relevant records, personnel, data, documents, systems, and premises in order for the Auditor to review and inspect the performance of your obligations in this Agreement. You shall provide all necessary assistance to the Program Owner and its Auditors to carry out such a review. The Program Owner shall endeavour, but is not obliged to provide due notice of its intent to conduct such an audit.
  2. If the review demonstrates that you have failed or is failing to comply with any of your obligations under this Agreement, then the Program Owner may, at its sole discretion, consider such failure as a material breach and/or require you to take all necessary steps to comply with your obligations and you shall comply with all such requirements by the Program Owner in accordance with the Program Owner’s instructions.

  1. Intellectual Property Rights
  1. Any existing Intellectual Property Rights (as hereinafter defined) of any Party, including any development, adaptation, modification or derivative rights shall belong and remain with such Party. Nothing in this Agreement, or in the MySTI Program by way of participation as an applicant shall transfer or assign any Intellectual Property Rights of either Party to the other Party.
  2. You hereby grant to the Program Owner a non-exclusive, royalty-free license to use your Intellectual Property Rights for the purpose of the MySTI Program in accordance with the terms of this Agreement.
  3. You warrant and represent that any Intellectual Property Rights submitted to the Program Owner, or used for or as part of your participation in the MySTI Program are legally owned and controlled by you, and do not contain, consist or form all or part of the Intellectual Property Right(s) of any third party. You further warrant, represent and undertake that in the event any of the Intellectual Property Rights submitted to the Program Owner, or used for or as part of your participation in the MySTI Program are inclusive of, in whole or in part, any Intellectual Property Rights owned by any third party (“Third Party IPR”), you have obtained all necessary rights and licence to use such Third Party IPR, and you agree to indemnify, defend and hold harmless the Program Owner against any third party claims involving or relating to your use of such Third Party IPR.  

  1. Confidentiality
  1. You shall at all times during the continuance of this Agreement and after its due determination, whether by effluxion of time, termination or otherwise, maintain confidential all Confidential Information (as hereinafter defined) given or disclosed to you by the Program Owner at any time, whether initially disclosed orally or in writing, and whether or not marked as “Confidential” at the time of disclosure, and shall not use the Confidential Information other than for the purposes of this Agreement.
  2. Confidential Information may be disclosed or reproduced by you to such an extent only as is necessary for the purposes contemplated by this Agreement, or as required by law and subject in each case to the Program Owner being satisfied that you have entered into an agreement on similar and equivalent terms as contained in this Clause 10 as to the confidentiality and restricted use of such Confidential Information, so as to enable you to comply with your obligations under this Agreement. For the avoidance of doubt, this Clause 9.2 shall also apply when Confidential Information is disclosed to your Personnel.
  3. Confidential Information disclosed pursuant to this Agreement shall be stored securely when not in use. Unless required for the purposes of a further agreement between the Parties, upon the due determination of this Agreement, either by the effluxion of time, termination or otherwise, you shall return all Confidential Information and all permitted copies to the Program Owner and shall irretrievably delete or destroy all Confidential Information stored digitally by you.
  4. Your confidentiality obligations pursuant to the Agreement shall survive the expiry or termination of this Agreement.
  5. You are permitted to disclose any part of the Confidential Information to the extent only that:
  1. the Confidential Information is in or comes into the public domain otherwise than by disclosure by you; or
  2. the Confidential Information was or is lawfully obtained or available from a third party who is lawfully in possession of the same and free to disclose it; or
  3. you already have knowledge of the Confidential Information prior to disclosure by the Program Owner as evidenced by written records; or
  4. such disclosure is required by law or governmental regulation.
  5. Nothing in this Clause shall be deemed to grant a licence expressly or by implication under any Intellectual Property Rights.
  6. You shall procure and ensure that your Affiliates abide by the obligations of confidentiality as set out herein.

  1. Personal Data
  1. You warrant, represent and undertake that –
  1. you shall process Personal Data in accordance with the PDPA and any other applicable data protection laws;
  2. you have obtained all necessary and valid consent from data subjects (as defined under the PDPA and any other applicable data protection laws) to enable you to legally process the data subject’s personal data;
  3. you have put in place reasonable safeguards to ensure the processing of personal data is in accordance with the PDPA and any other applicable data protection laws; and
  4. you shall comply, and shall ensure that your Personnel comply, with the PDPA and any other applicable data protection laws.
  5. You shall indemnify (and keep fully and effectively indemnified on demand, and shall pay such sums to the Program Owner as would indemnify and keep indemnified the Program Owner), defend and hold harmless the Program Owner and the Program Owner’s Affiliates in respect of any type of liability, loss, damage, claims, demands, actions, charges, costs (including legal/attorney fees) and expenses incurred by or awarded against the Program Owner, arising out of or in connection with any wrongful disclosure or misuse of Personal Data as a result of a breach of this Clause 11.
  6. You understand, agree and acknowledge that the Program Owner may collect Personal Data from you and/or your Affiliates. The collection and processing of your and/or you Affiliates’ Personal Data shall be in accordance with the Privacy Notice appended herewith under Annex II (Privacy Notice) of this Agreement or as can be found on the MySTI website. Subject to the foregoing, by participating in the MySTI Program, you agree that you have read and understood the terms of the Privacy Notice, and you hereby consent to:
  7. the collection and processing of your Personal Data by the Program Owner for the purposes of the MySTI Program; and
  8. the Program Owner’s disclosing and sharing, as well as the processing, of your Personal Data for the purposes of this Agreement, the MySTI Program, and any other purpose deem necessary by the Program Owner, to and by, without limitation, the Program Owner’s Affiliates, the MySTI Secretariat, and/or any government or private bodies, agencies, corporations, organizations and entities involved in the MySTI Program.

  1. Termination
  1. The Program Owner may terminate this Agreement, or your participation in the MySTI Program, at its sole discretion for convenience without any prejudice to its rights in law and under this Agreement with immediate effect and without having to provide any prior notice to you of its intention or decision to do so.
  2. This Agreement, or your participation in the MySTI Program, may be terminated by the Program Owner with immediate effect by way of written notice to you upon any breach or threatened breach of any of the terms and conditions of this Agreement. For the avoidance of doubt, your failure to perform any of your obligations under this Agreement, whether in whole or in part, shall constitute a breach of this Agreement.
  3. This Agreement may be terminated by either Party immediately without any prejudice to its rights in law and under this Agreement:
  1. if an order shall be made or an effective resolution passed for either the winding up of or bankruptcy proceedings against the other Party, its director(s) or principal as the case may be; or
  2. if the other Party is dissolved or liquidated, as the case may be, or commits a criminal offence; or
  3. if a receiver shall be appointed in respect of the other Party’s assets or any part thereof or if the possession shall be taken of the other Party’s assets or any part thereof on behalf of any creditor(s); or
  4. if the other Party ceases to carry out its business and operations.

  1. Following the due determination of this Agreement, whether by effluxion of time, termination or otherwise, neither Party shall have any further right or obligation under this Agreement to the other Party, except obligations in respect of confidentiality and Intellectual Property Rights of the Parties; any rights or obligations under this Agreement which is expressed to apply or continue to be binding after the due determination of this Agreement; and any right or obligation which have accrued in respect of any breach of any of the provisions of this Agreement by either Party prior to the due determination of this Agreement.
  2. Termination of this Agreement shall be without prejudice to any rights of either Party which may have accrued up to the date of such termination and the rights to terminate this Agreement are not intended to be exclusive but shall be in addition to every other remedy or right now or hereafter existing including the right to recover damages and to a decree requiring any appropriate performance required by this Agreement. Nothing in this Agreement shall be read to prejudice, waive, limit or diminish any right or remedy available to the Program Owner under this Agreement, at law or in equity, including for the avoidance of doubt, to terminate this Agreement in accordance with the terms contained herein. Following the termination or withdrawal of your participation in the MySTI Program, the Program Owner will be regarded as discharged from any further obligations to you under this Agreement.

  1. Force Majeure
  1. The Parties shall not be liable for any breach of the terms of this Agreement arising from a Force Majeure Event, provided always that where your delay or failure to perform your obligations under this Agreement due to a Force Majeure Event exceeds thirty (30) days, the Program Owner shall have the right to immediately terminate this Agreement and/or or your participation in the MySTI Program upon written notice to you.

  1. Notice
  1. Any notice given under this Agreement must be in writing, whether or not described as "written notice" in these Terms and Conditions.
  2. Any notice given by you to the Program Owner, or vice versa, under this Agreement must be sent by e-mail using the relevant contact details as provided by the Parties in accordance with Clause 13.3 below.
  3. The addressee and contact details of the Program Owner may be updated from time to time on the MySTI Program website. You are required to provide and may update your latest addressee and contact details by contacting the Program Owner.
  4. A Party receiving from the other Party a notice by e-mail must acknowledge receipt by e-mail promptly, and in any event within three (3) business days following receipt of the notice
  5. A notice will be deemed to have been received at the time of the sending of the e-mail (providing that the sending Party retains written evidence that the email has been sent).

  1. Dispute Resolution
  1. Any and all disputes, claims or differences arising out of or relating to this Agreement or the alleged breach thereto shall be settled by mutual consultation between the Parties in good faith as promptly as possible, but failing such amicable settlement, shall be settled pursuant to Clause 16.

  1. Governing Law and Jurisdiction
  1. This Agreement shall be governed by and construed in accordance with the laws of Malaysia and the Parties hereto shall submit to the exclusive jurisdiction of the courts of Malaysia.

  1. Entire Agreement
  1. This Agreement shall constitute the entire agreement between the Parties in relation to the subject matter of this Agreement, and shall supersede all previous agreements, arrangements and understandings between the Parties in respect of that subject matter.
  2. You agree that you shall not be entitled to any remedy in respect of any misrepresentation (whether written or oral) made to you upon which you relied on in entering into the Agreement.

  1. Successors-In-Title
  1. This Agreement shall be binding on your heirs, personal representatives, successors-in-title and permitted transferees and assignees.

  1. Severability
  1. If any provision of this Agreement is held by a court or other competent authority to be unlawful, void or unenforceable, it shall be deemed to be severed from this Agreement and shall be of no force and effect and this Agreement shall remain in full force and effect as if such provision had not originally been contained in this Agreement.

  1. Survival
  1. Clauses 1 (Definitions and Interpretations), 7 (Liability), 9 (Intellectual Property Rights), 10 (Confidential Information), 11 (Personal Data), 12 (Termination), and this Clause 21 and all other provisions of this Agreement intended to survive termination shall survive termination as the context requires.

  1. Variation
  1. The Parties agree that the Program Owner shall have the right to supplement, revise, vary, or otherwise amend the terms of this Agreement from time to time. Such changes will be posted on the MySTI Program website or otherwise specifically notified by the Program Owner, and the last updated date of the terms of this Agreement will be revised.
  2. It is your responsibility to review the terms of this Agreement from time to time to ensure that you are aware of any amendments made to the same. Your continued participation in the MySTI Program after changes to the terms of this Agreement are posted constitutes your express agreement and consent to be legally bound by the terms of this Agreement as updated and amended.

  1. Remedies Not Exclusive
  1. Any remedy or right conferred upon each Party shall be in addition to and without prejudice to all other rights and remedies available to it.

  1. Waiver
  1. Failure by either Party to enforce, at any time, any provisions of this Agreement shall not be construed as a waiver of its right to enforce the breach of such provision or any other provision in this Agreement or as a waiver of any continuing, succeeding or subsequent breach of any provision or other provision of this Agreement.

  1. Costs
  1. Where applicable, each Party shall bear their own expenses incurred in the negotiation and preparation of the terms of this Agreement, inclusive of solicitor’s fees and any other professional services engaged in relation to this Agreement. Where applicable, all stamping fees and stamp duty (if any) payable on the terms of this Agreement shall be borne by the Program Owner.

  1. Announcement
  1. No announcement of any kind shall be made in respect of the subject matter of this Agreement except as specifically agreed by the Program Owner in writing or if an announcement is required by law. Any announcement by you or so required by law shall in any event be issued subject to your receipt of the Program Owner’s written consent.

  1. No Agency
  1. You shall not hold yourself out to be the principal or agent of the Program Owner for any purpose and under no circumstances shall any of your actions have any authority to bind the Program Owner. You shall not have any authority to bind, or nor shall you be deemed to be the agent of, the Program Owner in any way.

 


ANNEX I

DEFINITIONS AND INTERPRETATIONS

  1. Definitions
  1. In this Agreement, the following expressions shall have the following meanings unless the context otherwise requires:

Agreement”, “Terms and Conditions” or “T&C

means these Terms and Conditions, together with the schedule(s) / Part(s) and any document incorporated by reference, as amended from time to time in writing and agreed by the Parties;

Commencement Date

means the commencement date of this Agreement, which shall be the date on which you are accepted to participate and take part in the MySTI Program;

Confidential Information

means any data or information, including any third party data or information (whether marked as “Confidential” or otherwise), which is provided by the disclosing Party to the receiving Party in whatever medium (including written, oral, electronic or visual) and includes, without prejudice to the generality of the foregoing,

  1. all materials, documentation, data, personal information, any personal data as defined in the Personal Data Protection Act 2010, and information concerning products, marketing strategies, financial affairs, employees, customers, consumers or vendors;
  2. any information directly or indirectly conveyed by, or otherwise obtained from, any directors, officers, employees, agents, sub-agents, advisers, contractors, sub-contractors, consultants, partners and/or representatives of the disclosing Party prior to, during or after the course of, or as a result of, the Agreement;
  3. any non-public, commercially sensitive information belonging to, concerning or in the possession or control of a Party or its affiliates, whether or not marked or identified in writing as confidential, proprietary, secret or similar designation;
  4. information which is of a type that a reasonable person would recognize to be confidential;
  5. any and all information relating to the disclosing Party’s Intellectual Property Rights;
  6. information that contains the disclosing Party’s customer lists, account information, information regarding business planning and business operations, and administrative, financial or marketing activities;
  7. information, technical data, or know-how including, but not limited to, that which relates to research, product plans, product, services, customers, markets, software, developments, inventions, process, designs, drawings, engineering, hardware and software configuration information, marketing or finance or any form of business plans; and
  8. any data or information relating to the operations and businesses of the disclosing Party’s related corporations as defined in the Companies Act 2016, affiliates, associated companies and their business, irrespective of whether such information were disclosed before or after the Commencement Date or the date of this Agreement or whether they were labelled as “CONFIDENTIAL” at the time of disclosure;

Data Security Obligations

means technical and organisational processes and procedures that will protect the Personal Data from any loss, misuse, modification, unauthorised or accidental access or disclosure, alteration or destruction or damage and which include:

  1. training of all relevant employees, agents and / or subcontractors;
  2. technical security measures;
  3. treating and safeguarding Personal Data as strictly private and confidential;
  4. minimising disclosure of Personal Data to third parties to the fullest extent possible;
  5. allowing access to Personal Data strictly on a 'need to know' basis employing appropriate access controls at all times;
  6. copying, reproducing and/or distributing Personal Data only to the extent necessary for the Purpose; and maintaining adequate back-ups for the data to enable Personal Data to be recovered in the event of damage or loss;

 

Force Majeure Event

shall include but shall not be limited to acts of God, insurrection, civil disorder, war or military operations, national or local emergency, acts or omission of government or other governmental authorities, industrial disputes of any kind (whether or not involving any of the Parties’ employees), pandemics or epidemics, fire, lightning, explosion, flood, landslides, subsidence, inclement weather, acts or omission of persons or bodies whom the Parties are not responsible for or any other cause whether similar or dissimilar outside the Parties control

Intellectual Property Rights

means at any given point in time, all of the following and all rights in, arising out of, or associated therewith:

  1. all patents, inventions, trade secrets, know-how, proprietary information, technical data, improvements, technology, recipes, formulae, documentation, designs, specifications, protocols, files, records, databases, compositions, processes, models, research and development data, confidential information, production processes and techniques, research and development information, improvements, proposals, and technical data;
  2. all copyrights, copyright registrations and applications therefor and all other rights corresponding thereto throughout the world;
  3. trademarks, trade names, service marks, service names, trade dress, logos, Internet web site graphics, and corporate names, together with all goodwill associated therewith and including, without limitation, all translations, adaptations, combinations and derivations of each of the foregoing;
  4. any similar, corresponding or equivalent rights to any of the foregoing anywhere in the world; and
  5. all copies and tangible embodiments of the foregoing (in whatever form);

applicant(s)

means the applicant or applicants of the MySTI Program.

Party” or “Parties

means a party or the parties to this Agreement;

Personal Data

shall have the meaning assigned to it under the Personal Data Protection Act 2010 (PDPA);

PDPA

shall mean the Personal Data Protection Act 2010;

Program Owner

PRIVACY NOTICE

Your privacy is important to us. This Privacy Notice explains how we collect, use, and disclose your personal data. In this Privacy Notice, kindly note that references to “we”, “us”, and “our” are references to the program owner and organiser of the Penandaan Logo Barangan Dan Perkhidmatan Hasil Penyelidikan Dan Pembangunan (R&D) Tempatan (“MySTI”); the MySTI Secretariat; its employees; and any entity controlled by, under common control with, controlling, or working together with us as a collaborator, partner or otherwise for the MySTI program; and references to our “affiliates” are references to our partners, agents, service providers, and contractors.

The types of personal data we collect from you

The type of personal data which we collect from you may vary depending on the nature of our relationship. The personal data that we may be collecting from you can include your name, national registration identity card number, nationality, race, birth date, age, gender, marital status, residential address, and telephone number; your e-mail address, social media account details, or the details of any account you may have with any website or mobile application; your geographic location; your computer’s internet protocol address and any other identifying information of any computer and/or mobile device which you use to interact with us; your financial details including your bank account details; any record of your participation in any events and/or programmes organized or facilitated by us; your social security information and tax information; your religious beliefs, political affiliations, and memberships with any organisations; your criminal record or any record of you being the subject of any investigations, claims, or sanctions; your educational history and educational and professional qualifications; your past and current employment; information relating to your ownership of or equity in any companies; your medical information including your physical and mental condition; your biometric information; and video footage and pictures of you. We may also collect from you the aforementioned personal data relating to persons connected to you, such as your family, friends and colleagues. The purposes of processing your personal data

Your rights to access and correct your personal data

It is your obligation to ensure that your personal data is current and accurate and promptly inform us of any changes. You have rights over your personal data and we respect          these rights. You have the right to request access to your personal data, to request us to correct your personal data, and to withdraw any consent you grant to use to process your personal data. To exercise these rights, please contact us using the contact details provided in this Privacy Notice. When we receive such requests, we may ask you to provide further information in order for us to verify your identity. As part of our commitment to keep your personal data secure, if we are unable to verify the identity of the requestor, we may refuse the request. Please note that it may take some time for any change to your personal to be reflected in our system and during that time, you might still receive communications from us. Retention of Personal Data
